These terms provide a practical overview. The signed proposal, statement of work, or service agreement for your project takes precedence where it contains more specific terms.

01 / Services

Our service relationship

Dizinum provides digital strategy, web engineering, technical search, outreach support, and ongoing maintenance services as defined in the applicable proposal, statement of work, or service agreement. Each engagement is scoped to its specific commercial and technical context.

A project begins when the relevant agreement is accepted by both parties. The agreement will define the deliverables, timing, responsibilities, investment, assumptions, and acceptance process for the engagement.

02 / Responsibilities

Working well together

Dizinum will provide the services with reasonable skill, care, and professional diligence. We will communicate material delivery risks, dependencies, and decisions that require client input in a clear and timely way.

Clients are responsible for providing accurate information, timely feedback, appropriate access to agreed systems, and the necessary approvals to keep a project moving. Delays caused by missing access, feedback, or approvals may affect timing and scope.

03 / Intellectual property

Ownership and usage

On full payment of the applicable fees, clients receive the rights to the bespoke deliverables described in their agreement, subject to third-party licences, open-source obligations, and pre-existing Dizinum or Oasivent tools, methods, and know-how.

We may reuse general skills, non-confidential learnings, and components developed independently of a client engagement. We will not disclose client confidential information or reuse client-specific materials without permission.

04 / SLA guarantees

Maintenance and service levels

Where maintenance or monitoring is included, the applicable service agreement will define coverage windows, response targets, planned maintenance, escalation routes, and exclusions. Our 99.99% uptime target reflects a system-care objective and is measured according to the services and dependencies defined in the relevant agreement.

Third-party outages, client-controlled systems, force majeure events, and changes outside our agreed scope may be excluded from service-level calculations. We will communicate incidents and corrective actions transparently.

05 / Payments

Investment and payment

Fees, payment milestones, and any recurring charges are stated in the applicable proposal or agreement. Unless otherwise agreed, invoices are payable within the stated payment term. Work may be paused when an invoice remains materially overdue.

Changes to agreed scope are managed through a written change process so that impact on timing, investment, and delivery is clear before new work begins.
